Terms of Service

These terms form the agreement between you and Simplance regarding your use of the app, community, and related services.

1. Agreement & Scope

By creating an account, accessing Simplance, or using any feature you agree to these Terms as well as our Privacy Policy and Cookie Policy. If you are accessing Simplance on behalf of a company, you confirm you have authority to bind that entity. If you disagree with any section, do not use the service.

2. Eligibility & Accounts

  • • You must be at least 16 years old. If you are under 18, you confirm a parent or legal guardian has reviewed these terms and agrees to them on your behalf.
  • • Simplance is currently offered to residents of the United States and the United Kingdom. Signup is region-gated; visitors from other countries can join the waitlist. Accounts created by circumventing regional availability (for example via VPN or masked location) may be suspended or deleted without notice.
  • • Sign in with email and password or Google OAuth. Keep your credentials secure; you are responsible for actions taken through your session.
  • • Provide accurate profile information. Display names and bios appear on community content—don't impersonate others.
  • • Notify us immediately if you suspect unauthorized access: support@simplance.org.

3. Acceptable Use

Do not upload malware, automated scripts, or try to probe/scan our infrastructure.
Do not scrape, resell, or commercially exploit other users' public data without permission.
Do not share illegal, infringing, hateful, or deceptive content anywhere within Simplance.
Do not abuse notifications, reactions, or support channels for spam or harassment.
Respect rate limits and API boundaries. Automated exports must use in-product endpoints only.
The community exists to showcase freelance service businesses. Product storefronts, regulated-goods promotion (e.g. vaping, tobacco, gambling), affiliate schemes, and content unrelated to freelance services may be removed without notice.

Violations can result in content removal, temporary suspension, or permanent bans.

4. Community & Sharing

Community features include public/unlisted shares, reactions, and notifications. When you publish a share you grant Simplance a non-exclusive, royalty-free license to host, display, and distribute that snapshot. You can delete the share at any time, which removes it from public feeds.

Do not post content you don't have rights to share. We may remove or moderate content that violates these terms and may report illegal activity to authorities.

5. Ownership & Licenses

You own your content

Invoices, proposals, expenses, earnings data, uploads, and community posts remain yours. Simplance only uses them to provide requested features.

We own Simplance

The platform, design system, logos, and source code are owned by Simplance. Don't copy or reverse engineer without permission.

Feedback you choose to share (roadmap ideas, bug reports) may be used without obligation to you, but we love shout-outs.

6. Service Availability & Changes

We aim for high uptime but Simplance is provided "as is." We may update, pause, or discontinue features (including beta experiments) at any time. We'll strive to give prior notice for major changes through notifications or email. Backups run daily, but you should export critical data regularly.

Sample mode: Simplance can populate your workspace with clearly marked practice data (sample clients, invoices, expenses) so you can learn the product. Sample records are synthetic, kept separate from your real records, and excluded from your real totals. Don't rely on sample figures for any business or tax decision.

7. Pricing & Payments

  • • Unlimited invoices, expenses, clients, and proposals
  • • AI advisor (20/day), forecasting, scenarios, goals
  • • Recurring invoices, receipt uploads, bank connections, CSV import/export
  • • Quarterly tax tracking, tax export, priority email support

Free Trial

  • • New accounts get a 14-day Pro trial starting at signup. No card required.
  • • When the trial ends you automatically move to the Free tier; nothing is charged and your data is never deleted.
  • • Some limits differ during the trial (for example, the AI Advisor allows 10 messages/day on trial vs 20/day on Pro).
  • • AI Advisor daily limits are shared across your whole account, including Sample mode.
  • • One trial per person; we may adjust or end trial availability for new signups at any time.

Payment Processing

  • • We use Stripe for secure payment processing. Stripe is PCI-DSS compliant; we never store your credit card details.
  • • You authorize recurring charges when subscribing.
  • • Payment methods: Major credit and debit cards via Stripe.

Billing

  • • Monthly subscriptions renew automatically each month.
  • • Annual subscriptions renew automatically each year.
  • • You'll receive email receipts for all charges.
  • • Failed payments may result in service interruption after a grace period.

Business Add-Ons

  • • Pro includes 1 business. Additional businesses cost $4.99/month or $49.99/year each.
  • • Each add-on is a separate Stripe subscription billed independently.
  • • Add-ons require an active Pro subscription. Free users must upgrade first.
  • • Canceling an add-on does not affect your Pro subscription or other add-ons.
  • • When an add-on is canceled, the associated business data is preserved. You cannot create new businesses beyond your limit, but existing businesses remain accessible.

Cancellation

  • • Cancel anytime from Settings.
  • • You retain Pro access until the end of your current billing period.
  • • After cancellation, you automatically revert to Free tier.
  • • Add-on subscriptions can be canceled independently. Canceling an add-on does not affect your Pro subscription or other add-ons.
  • • No refunds for early cancellation, except where required by law (see below).
  • UK and EU consumers: by starting a paid subscription you request immediate access to the digital service and acknowledge that once access begins, you lose the statutory 14-day cooling-off right. If you cancel within 14 days of your first payment and have not meaningfully used Pro features, contact support@simplance.org and we will review a refund.

Plan Changes

  • • Upgrade from Free to Pro: Immediate access, charged immediately.
  • • Downgrade from Pro to Free: Access continues until end of billing period.
  • • Switch billing period (monthly ↔ annual): Prorated charges apply.

Data Retention After Downgrade

  • • Your data is never deleted.
  • • If you exceed Free tier limits after downgrade, you'll be prompted to upgrade or remove excess items.
  • • You can re-subscribe anytime to regain full access.

Price Changes

  • • We may change pricing for new subscribers with 30 days notice.
  • • Existing subscriptions are locked at your original price until you cancel or change plans.
  • • Grandfathered pricing for early supporters (if applicable).

Taxes

Prices exclude applicable sales tax, VAT, or GST. Stripe calculates and collects taxes based on your billing location.

Invoice Payment Links

  • • Pro tier users can generate payment links via Stripe, Square, or PayPal for invoices.
  • • The chosen provider (Stripe, Square, or PayPal) processes client payments — Simplance never handles payment card data.
  • • Each provider's standard processing fees apply to payments collected via payment links.
  • • You are responsible for the accuracy of invoice amounts and applicable tax compliance.
  • • Simplance is not a payment processor and does not hold funds on your behalf.

Third-Party Integrations

  • • You may connect third-party platforms (Stripe, Square, and PayPal for payment links; Stripe Financial Connections for bank connections) to auto-sync financial data into Simplance.
  • • By connecting, you authorize Simplance to access specified account data on your behalf.
  • • You are responsible for maintaining the security of your connected platform accounts.
  • • You can disconnect at any time from Settings; OAuth tokens are deleted immediately on disconnect.
  • • Simplance is not responsible for third-party API changes, outages, or data accuracy.
  • • Historical data synced before disconnection is retained unless you explicitly delete it.
  • • Connected platform data is subject to that platform's own terms of service and privacy policy.

8. Disclaimers, Liability & Indemnification

  • • Simplance provides informational dashboards, not financial, accounting, or legal advice. Consult professionals before making decisions.
  • • We don't guarantee that analytics, projections, or forecast features are accurate or error-free.
  • • Simplance is not responsible for payment processing errors, failed transactions, or Stripe, Square, or PayPal service interruptions. Contact the relevant provider's support for payment-specific issues.
  • • Simplance is not responsible for the accuracy, completeness, or timeliness of data synced from connected platforms (Stripe, Square, PayPal, and others). Verify synced income against your platform dashboards.
  • • To the fullest extent allowed by law, Simplance isn't liable for indirect, incidental, or consequential damages arising from use of the service.
  • • Tax estimates, quarterly payment suggestions, and scenario modeling are informational tools — not tax advice. Consult a qualified tax professional for filing decisions.
  • • AI Advisor insights, forecasts, and scenario projections are based on your historical data and may not reflect future results. Do not rely on them as financial guidance.
  • • You are solely responsible for the accuracy of invoices you send, expenses you log, and tax data you configure.
  • • Simplance provides tools to organize and estimate — it does not validate, audit, or file on your behalf.
  • • Our total liability is limited to the greater of USD $50 or the amount you paid in the past 12 months.
  • Indemnification: you agree to defend and hold Simplance harmless from claims, damages, and reasonable costs arising out of content you create, upload, or send through the service (invoices, proposals, community shares, uploads), your violation of these terms, or your business's own tax, legal, and contractual obligations.

9. Termination

You can delete your account anytime from Settings. Doing so removes active data immediately (backups purge within 30 days). We may suspend or terminate access if you violate these terms, create security risks, or fail to respond to moderation flags. Termination notices will be sent to your account email when possible.

We may also terminate or suspend any account at our reasonable discretion (for example, when winding down a feature or region). In that case we will give you notice and a reasonable window to export your data, except where the account violated these terms.

Account Deletion & Active Subscriptions

  • • Deleting your account cancels any active subscription immediately.
  • • You will not receive refunds for unused subscription time.
  • • Stripe subscription data is retained for 7 years for tax and accounting compliance.
  • • Connected platform tokens (Stripe Connect, Stripe Financial Connections, and any other integrations) are deleted immediately on account deletion.

10. Copyright Complaints

If you believe content on Simplance (for example, an image in a community share) infringes your copyright, email support@simplance.org with the subject "Copyright complaint" and include:

  • • Identification of the copyrighted work and the URL of the allegedly infringing content on Simplance.
  • • Your name, email, and physical address.
  • • A good-faith statement that the use is not authorized by the copyright owner.
  • • A statement, under penalty of perjury, that the information is accurate and you are the owner or authorized to act for the owner.

We will promptly remove or disable access to infringing material and may terminate the accounts of repeat infringers. If your content was removed and you believe that was a mistake, reply with a counter-explanation and we will review it.

11. Contact & Disputes

Questions? Email support@simplance.org. These terms are governed by the laws of the State of New York (without conflict-of-law principles). Any disputes will be resolved in New York County, New York, unless both parties agree to an alternative forum or arbitration. We're always open to resolving issues amicably, so reach out first.

UK consumer note: If you're a UK consumer, nothing in these terms restricts your statutory rights under the Consumer Rights Act 2015 or other UK consumer-protection law, including your right to bring proceedings in your local UK courts. Where mandatory consumer-protection law conflicts with the New York jurisdiction clause above, the consumer-protection law applies. 12. Changes to These Terms

We may update these Terms as Simplance evolves. For material changes we will give notice by email or an in-app notice before the changes take effect. Continuing to use Simplance after changes take effect constitutes acceptance of the updated Terms; if you disagree, stop using the service and delete your account. The "last updated" date at the top always reflects the current version, and prior versions are available on request at support@simplance.org.
